Dozo End-User License Agreement (EULA)

This End-User License Agreement (hereinafter referred to as the "Agreement") is a legal agreement between you and Dozo LLC
(hereinafter referred to as "we," "us," "our," or the "Company") concerning your use of the "Dozo" mobile application and related
web services (collectively referred to as the "App").
By downloading, installing, or using the App, you are deemed to have agreed to be bound by all the terms and conditions of this
Agreement. If you do not agree to this Agreement, you must immediately cease using the App and delete it from your device.
Article 1 (Definitions)
- "App" refers to the software named "Dozo" provided by the Company, and all services accessible through it, including the e-commerce marketplace and car-sharing services.
- "Content" refers to text, sound, music, images, videos, software, programs, code, and other information provided within the App.
- "User Content" refers to content that you upload, post, transmit, or otherwise provide to the App.
- "User" refers to both registered and unregistered users who use the App.
Article 2 (Agreement Formation and License)
- This Agreement shall become effective between you and the Company once you download the App and begin using it.
- Subject to the terms of this Agreement, the Company grants you a non-exclusive, non-transferable, and non-sublicensable license to use the App for personal and non-commercial purposes within Japan.
- This license does not transfer ownership or any intellectual property rights in the App to you.
Article 3 (Account Registration and Management)
- Registration of an account (full membership) is required to use all features of the App.
- You must register true and accurate information and promptly update your registered information via the method designated by the Company should any changes occur.
- You are responsible for managing your account ID and password and must not lend, transfer, sell, or otherwise allow any third party to use them.
- You are solely responsible for any damages resulting from inadequate password management, user error, or use by a third party, and the Company shall not be liable in any way.
Article 4 (Fees and Payment)
- Basic use of the App is free. However, separate fees as determined by the Company will apply for specific services (e.g., sales commissions, car-sharing usage and insurance fees, premium membership functions).
- When using fee-based services, you must pay the usage fees via the method designated by the Company.
- If you use a credit card as a payment method, you also agree to the terms of the payment service provider.
Article 5 (User Conduct and Prohibited Acts)
5.1. General Prohibition
You agree not to use the App, or any of its services, content, or data, for any unlawful, harmful, or malicious purpose, or in any
way that interferes with the operation, security, or experience of the App or other users. Any violation of this Article 5
constitutes a material breach of this Agreement and may result in immediate termination of your license and access, and may be
reported to law enforcement authorities.
5.2. Detailed Prohibited Activities
You expressly agree that you will NOT, and will not assist, encourage, or enable others to:
a) Violate Laws and Regulations:
- Use the App to violate any applicable local, state, national, or international law, regulation, or ordinance.
- Engage in, promote, or facilitate any illegal activities, including but not limited to fraud, money laundering, terrorist financing, or the sale of illicit goods.
b) Infringe on Rights:
- Infringe upon or violate our intellectual property rights or the intellectual property rights of any third party, including copyright, patent, trademark, trade secret, or other proprietary rights.
- Violate the privacy, publicity, or other personal rights of others.
c) Engage in Fraud and Abuse:
- Create false, misleading, or deceptive accounts, content, or information.
- Engage in phishing, spamming, or any other fraudulent or deceptive practices.
- Attempt to manipulate our systems, including any ranking, review, or reputation system, through artificial or fraudulent means.
- Use unauthorized scripts, bots, or other automated methods to access, collect data from, or otherwise interact with the App.
d) Compromise Security and Integrity:
- Attempt to gain unauthorized access to the App, other user accounts, computer systems, or networks connected to the App through hacking, password mining, or any other means.
- Probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measures.
- Transmit any viruses, malware, worms, time bombs, cancelbots, or other harmful or deleterious programming routines.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the App, except as expressly permitted by applicable law.
e) Harass and Abuse Others:
- Harass, abuse, threaten, or incite violence against any individual or group.
- Post, upload, or transmit any content that is hateful, defamatory, obscene, pornographic, or otherwise objectionable.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
f) Misuse Data and Content:
- Scrape, harvest, collect, or otherwise extract data from the App without our express written permission.
- Use the App to compile data in a manner that is used or usable by a competing product or service.
- Access, monitor, or copy any content or information from the App using any robot, spider, scraper, or other automated means or manual process.
5.3. Our Stance and Enforcement
Dozo LLC has a zero-tolerance policy towards any of the prohibited activities listed above. We are committed to maintaining a safe, secure, and positive environment for all our users.
- Investigation: We actively monitor for compliance and reserve the right, but have no obligation, to investigate any suspected violation of this Agreement.
- Cooperation with Authorities: We will fully cooperate with any law enforcement investigation or court order requesting or directing us to disclose the identity of anyone engaging in illegal activities.
- Remedies: In addition to terminating your license, we may pursue all available legal remedies, including seeking injunctive relief and recovering damages, for any breach of this Article 5. You acknowledge that monetary damages may be inadequate to compensate for the harm caused by such violations and that injunctive relief is an appropriate remedy to restrain such activity.
Article 6 (Ownership of Content)
- All intellectual property rights related to the Content (text, images, design, logos, software, etc.) contained in the App belong to the Company or third parties who have licensed them to the Company.
- Intellectual property rights to the User Content you post remain with you. However, you are deemed to have granted the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use such content for the purpose of providing, improving, and promoting our services, including for our group companies.
Article 7 (Parties to Transactions and Disclaimer)
- [E-commerce] Sales contracts for items on the App are concluded directly between users. The Company is neither the seller nor the buyer, but merely a platform provider facilitating transactions between users. Therefore, the Company makes no warranties whatsoever regarding the quality, safety, legality, or accuracy of the items, and shall not be liable for any problems arising from the items themselves or related to the transaction (e.g., non-delivery, damage, discrepancy with description, payment disputes).
- [Carshare] The vehicle rental agreement is concluded directly between the vehicle owner and the intended user. The Company is not the owner of the vehicle, but only provides an intermediary platform for car sharing. Therefore, the Company shall not be liable for the condition, functionality, safety, or legality of the vehicle, or for any accidents, violations, or damages caused by the intended user's driving. The intended user is responsible for inspecting the vehicle themselves before driving.
Article 8 (Disclaimer of Warranties and Limitation of Liability)
- The App is provided "as is". The Company makes no warranties, express or implied, regarding the App's fitness for a particular purpose, expected functionality, commercial value, accuracy, usefulness, uninterrupted continuous use, or absence of defects.
- The Company shall not be liable for any damages arising from the use of the App, except in cases of willful intent or gross negligence on the part of the Company.
Article 9 (Termination)
- You may terminate your use of the App at any time by deleting it from your device.
- If you violate any provision of this Agreement, we may, without prior notice, suspend your access to the App and delete your account.
- Notwithstanding the preceding paragraph, if there is fraudulent activity or any other act we deem inappropriate, we may take necessary measures, such as immediate account suspension, without notifying you.
Article 10 (Modification of the Agreement)
We may modify this Agreement at any time at our discretion. The modified Agreement will become effective upon posting on the App or our website. If you continue to use the App after the modifications, you are deemed to have agreed to the modified Agreement.
Article 11 (Governing Law and Jurisdiction)
- The interpretation and application of this Agreement shall be governed by the laws of Japan.
- Any disputes arising between the Company and you in relation to the App shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Article 12 (Contact Method)
Our communications to you regarding this Agreement will be made by posting in an appropriate location within the App, sending to the email address held as your registered information, or by any other method we deem appropriate.
